Terms and Conditions

(1) These General Terms and Conditions (T&C) apply to all contracts between Adam Labs Sàrl, Chemin de Mancy 40, 1222 Vésenaz, Switzerland (hereinafter "Cryogenix" or "we") and the customer regarding the provision of services in the field of cryopreservation of sperm.

(2) Deviating conditions of the customer are not accepted unless Cryogenix expressly agrees to their validity in writing.

(1) Cryogenix facilitates services for cryopreservation (deep-freeze storage) of sperm in cooperation with certified partner clinics and laboratories.

(2) The scope of services is determined by the respective service description and the booked plan (Standard, Mid-term, or Forever).

(3) The medical sample collection and analysis is performed by the partner clinic, long-term storage by certified cryogenic laboratories (BioKryo GmbH).

(1) The presentation of our services on the website does not constitute a legally binding offer, but an invitation to place an order.

(2) The contract is concluded by confirming the terms and conditions on www.cryogenix.de (checkbox procedure) and subsequent payment. You will receive a confirmation email with all contract documents as PDF.

(3) The prices displayed on the website do not constitute a binding offer. The contract is only concluded upon confirmation and payment.

(1) All stated prices are final prices for the services provided by Cryogenix (facilitation, coordination, transport and long-term storage) and include the statutory value-added tax of 19%.

(2) Payment is made online via the payment methods offered on www.cryogenix.de (credit card, PayPal, Klarna) or by invoice with bank transfer (payment term: 14 days).

(3) Payment is due upon booking. Access to the service is granted after payment receipt.

(4) The current prices are:

• Standard (1 year): €350.00 incl. 19% VAT
• Mid-term (5 years): €999.00 incl. 19% VAT
• Forever (20 years): €2,999.00 incl. 19% VAT
• Retrieval fee (if required): €390.00 incl. 19% VAT

(5) The aforementioned prices do not include the medical and laboratory services of the partner clinic (in particular consultation, blood test, semen analysis and cryopreservation). These are provided and billed independently and directly to the customer by the partner clinic according to the applicable fee schedule. The customer is informed of the amount by the partner clinic before the appointment.

(1) As a consumer, you have the right to withdraw from this contract within 14 days without giving any reason.

(2) The withdrawal period is 14 days from the day of contract conclusion.

(3) To exercise your right of withdrawal, you must inform us by means of a clear statement (e.g., a letter sent by mail or email) of your decision to withdraw from this contract.

(4) The detailed withdrawal instructions and a sample withdrawal form can be found in your contract documents and at Withdrawal instructions.

(1) After successful booking, the partner clinic contacts the customer to arrange an appointment for sample collection.

(2) The customer is required to attend the agreed appointment and bring a valid photo ID.

(3) The sample is analyzed (spermiogram) and processed at the partner clinic; Cryogenix then arranges transport for long-term storage in liquid nitrogen at -196°C.

(1) The contract duration depends on the booked plan:

• Standard: 1 year minimum term, renewal for one additional year takes effect automatically upon payment of the annual service invoice
• Mid-term: 5 years fixed term
• Forever: 20 years fixed term

(2) Termination is possible with one month's notice to the end of the current storage year or package period.

(3) Termination can be done via our termination page at Terminate contract.

(4) Upon termination or contract expiry, the stored samples are handled in accordance with legal regulations and the provisions of the customer contract.

(1) Cryogenix is liable without limitation for damages resulting from injury to life, body, or health, as well as for intentional acts and gross negligence.

(2) In case of slight negligence, Cryogenix is only liable for breach of essential contractual obligations and limited to the typical, foreseeable damage.

(3) Liability for the quality of medical services rests with the respective partner clinic or cryogenic laboratory.

(1) The processing of personal data is carried out in accordance with our data protection information, which you can view at Data protection information.

(2) Health data is only processed with the express consent of the customer in accordance with Art. 9 GDPR.

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the country in which the consumer has their habitual residence remain unaffected.

(2) We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).
